2. About TaxiDesk and Our Role
TaxiDesk is a technology platform that provides software tools enabling taxi and private hire vehicle operators to offer digital booking services to their customers.
TaxiDesk is not a transport provider. We do not provide, operate, or manage taxi or private hire vehicle services. We do not employ or contract drivers, set fares, or control the provision of transport services.
TaxiDesk acts as a disclosed agent on behalf of Operators. When a Customer makes a booking through the Platform, the contract for transport is between the Customer and the Operator. TaxiDesk facilitates this transaction as the Operator's agent but is not a party to the transport contract.
Where TaxiDesk collects payment from Customers on behalf of the Operator (via Stripe Connect), it does so as the Operator's payment collection agent. The Operator is the merchant of record for all Customer transactions.
3. Acceptance of Terms
By registering for an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our Data Processing Agreement.
If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
4. Operator Obligations
By using the Platform, you warrant and agree that:
- You hold a valid private hire vehicle (PHV) operator licence or hackney carriage licence issued by the relevant local authority, and will maintain this licence throughout your use of the Platform.
- All drivers fulfilling bookings made through the Platform are appropriately licensed and insured in accordance with applicable law.
- You have and will maintain adequate public liability and vehicle insurance for all journeys fulfilled through the Platform.
- You are responsible for the pricing of your services. TaxiDesk does not set, control, or approve your fares.
- You are responsible for the quality, safety, and legality of all transport services provided to Customers.
- You will comply with all applicable laws and regulations, including but not limited to transport licensing, data protection (UK GDPR), consumer protection, and equality legislation.
- You will respond to Customer complaints relating to journeys fulfilled by your drivers and will handle refund requests in a timely manner.
- All information provided during registration and ongoing use of the Platform is accurate and up to date.
- You will not use the Platform for any unlawful purpose or in any way that could damage, disable, or impair the Platform.
5. Account Registration
To use the Platform, you must register for an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security and confidentiality of your account credentials.
- Notify us immediately of any unauthorised access to your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate information or violate these terms.
6. Platform Services
Subject to these terms, TaxiDesk provides the following services:
- White-label booking kiosk creation and management under your branding.
- Embeddable booking widgets for third-party websites.
- Integration with supported dispatch systems for quote generation, availability checking, and booking dispatch.
- Payment collection facilitation via Stripe Connect on your behalf.
- Analytics, reporting, and booking management tools.
7. Payment Terms
7.1 Platform Fees
TaxiDesk may charge subscription fees and/or transaction-based fees for use of the Platform. Current pricing is available on our website or as communicated to you directly. We will provide at least 30 days' notice of any changes to our fee structure.
7.2 Customer Payment Collection
Where Customers pay by card through the Platform, TaxiDesk collects payment as your disclosed agent via Stripe Connect. The payment is processed as a direct charge on your Stripe connected account. TaxiDesk deducts an Application Fee (commission) from each transaction before the remaining funds are settled to your Stripe account.
Payment by a Customer to TaxiDesk (via Stripe Connect) shall discharge the Customer's payment obligation to you for that booking.
You are responsible for completing Stripe Connect onboarding and maintaining your connected account in good standing. TaxiDesk is not responsible for delays caused by Stripe's settlement schedule or account holds imposed by Stripe.
7.3 Cash Payments
Where Customers choose to pay by cash, the payment is made directly to the driver. TaxiDesk has no involvement in, and accepts no liability for, cash transactions.
7.4 Refunds
You are responsible for determining and processing refunds for Customers. Refunds for card payments may be processed through the Platform dashboard or directly via Stripe. TaxiDesk's Application Fee may or may not be refunded depending on the circumstances of the refund.
8. Stripe Connect
By activating card payments on the Platform, you agree to Stripe's Connected Account Agreement, which includes the Stripe Services Agreement. These Stripe terms are between you and Stripe and are separate from these TaxiDesk terms.
TaxiDesk does not store or have access to full Customer payment card details. All card payment data is processed and stored by Stripe in accordance with PCI DSS requirements.
9. Dispatch System Integration
The Platform integrates with third-party dispatch systems to generate quotes and dispatch bookings. You are responsible for:
- Maintaining a valid account with your chosen dispatch provider.
- Providing accurate API credentials for integration.
- Ensuring your dispatch system is correctly configured (including vehicle types, pricing, and coverage areas).
TaxiDesk does not guarantee the accuracy of quotes or availability data provided by your dispatch system. Fares displayed to Customers are sourced directly from your dispatch provider.
10. Data Protection
In relation to Customer personal data processed through the Platform:
- You (the Operator) are the data controller for Customer booking data processed through your Kiosks and Widgets. You determine the purposes and means of processing Customer personal data for the provision of your transport services.

TaxiDesk and its content, features, and functionality (including software, code, design, and documentation) are owned by TaxiDesk and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of your branding assets (logo, colours, company name) uploaded to the Platform. You grant TaxiDesk a non-exclusive, royalty-free licence to use these assets solely for the purpose of providing the Platform services (including displaying your branding on Kiosks and Widgets).
You must not copy, modify, distribute, sell, or lease any part of the Platform, nor reverse-engineer or attempt to extract the source code.
12. Service Availability
We aim to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. We may temporarily suspend access for maintenance, updates, or circumstances beyond our reasonable control.
Where reasonably practicable, we will provide advance notice of planned maintenance. We are not liable for any loss arising from temporary unavailability of the Platform.
13. Limitation of Liability
Nothing in these terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.

- Any indirect, incidental, special, or consequential damages.
- Actions, errors, or omissions of third-party services including Stripe, dispatch system providers, or hosting providers.

Our total aggregate liability to you in connection with these terms shall not exceed the total fees paid by you to TaxiDesk in the twelve (12) months immediately preceding the event giving rise to the claim, or £500, whichever is greater.
14. Indemnification

- We are required to do so by law or regulatory order.
- We reasonably believe your account is being used fraudulently.
Upon termination: your access to the Platform will cease; your Kiosks and Widgets will be deactivated; outstanding Application Fees will remain payable; and we will process your data in accordance with our Data Processing Agreement.

- Use the Platform in a way that infringes the intellectual property rights of any third party.
17. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these terms to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, strikes, government actions, power failures, internet or telecommunications failures, or cyber-attacks.
18. Changes to Terms
We may update these terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated terms.
If you do not agree with the updated terms, you may terminate your account before the changes take effect.
